A leading law firm is seeking an experienced Private Funds Associate to join its dynamic investment funds practice in one of its U.S. offices.
The role focuses on advising clients on the formation and operation of private investment funds and related vehicles, serving a diverse clientele including private equity, venture capital, credit, fund of funds, and real estate funds.
Key Responsibilities:

Advise on the formation, structuring, and operation of private investment funds, including private equity, venture capital, credit, fund of funds, and real estate funds.

Handle complex transactions, such as co-investment vehicles, continuation funds, secondary transactions, and GP stakes transactions.

Draft and negotiate fund formation documents, partnership agreements, and other related legal instruments.

Provide strategic counsel to clients on regulatory, compliance, and operational matters.

Lead deal teams, mentor junior associates, and coordinate with internal and external stakeholders.

Contribute to client development and relationship management.
Qualifications:

7+ years of experience in private funds, with expertise in fund formation and operations.

Strong understanding of private equity, venture capital, credit, fund of funds, and/or real estate funds.

Exceptional oral and written communication skills, with the ability to distill complex matters clearly and concisely.

Proven leadership skills and a strong work ethic.

Admitted to the state bar of the office location or eligible to waive in.
