A globally recognized law firm is looking to add an M&A Partner into their NYC office.
Their Mergers & Acquisitions practice is a cornerstone of their success, advising some of the largest complex, high-stakes transactions globally. The incoming partner will need a portable book of business of at least $5 million to join their elite team and drive continued growth.
Key Responsibilities
- Client Development and Management: Maintain and grow a portable book of business of at least $5 million, fostering strong relationships with existing clients and attracting new ones, including corporations, private equity firms, and financial institutions.
- Transaction Leadership: Lead the structuring, negotiation, and execution of complex M&A transactions, including mergers, acquisitions, divestitures, joint ventures, and restructurings.
- Due Diligence Oversight: Direct comprehensive due diligence processes to identify and mitigate legal, financial, and regulatory risks.
- Drafting and Negotiation: Prepare, review, and negotiate key transaction documents, such as purchase agreements, merger agreements, and shareholder agreements, ensuring alignment with client objectives.
- Regulatory Compliance: Advise on antitrust, securities, and industry-specific regulations, securing necessary approvals and ensuring compliance.
- Team Leadership: Mentor and supervise associates, counsel, and junior partners, fostering a collaborative and high-performing team environment.
- Thought Leadership: Contribute to the firm’s reputation through publications, speaking engagements, and participation in industry events.
- Post-Merger Integration: Provide strategic counsel on legal aspects of post-transaction integration, including corporate governance and contract harmonization.
- Market Awareness: Stay abreast of legal, regulatory, and market trends to provide forward-thinking advice and maintain a competitive edge.
