Job Title: Securities Associate(s) – Capital Markets
Location: New York, NY and/or Miami, FL
Salary: $150,000 – $250,000
We are seeking Securities Associate(s) to join our client’s Capital Markets practice in New York or Miami. You will advise public and private companies, underwriters, and placement agents on U.S. and cross-border securities offerings, corporate finance transactions, and corporate governance matters.
What You’ll Do
- Advise issuers, underwriters, and placement agents on IPOs, SPACs, de-SPAC transactions, reverse takeovers (RTOs), follow-on offerings, and private placements
- Draft and file registration statements (Forms S-1, S-3, S-4), periodic reports (Forms 10-K, 10-Q, 8-K), board resolutions, and other disclosure documents with the U.S. Securities and Exchange Commission
- Guide companies through U.S. securities regulations and exchange listing requirements, including compliance with New York Stock Exchange and NASDAQ rules
- Support corporate governance initiatives and ensure compliance with federal securities laws
- Assist with due diligence, transaction structuring, and coordination of cross-border securities offerings
What We’re Looking For
- Admitted to practice law in New York or Florida
- Strong knowledge of U.S. securities law, corporate finance, and corporate governance
- Excellent drafting, analytical, and communication skills
- Ideally, 1–3 years of relevant experience
- Experience with public and private company transactions; cross-border experience a plus
